Oriirewa is an e-commerce platform for the sale of afrocentric ready-to-wear clothing items and gifts (“Product” or “Products”).

3. "Party", "Parties" or "Us" refers to both the Customer and Ourselves, or either the Customer or Ourselves.

4. “Service” or “Services” refer to the range of services provided to you when you visit or shop at Oriirewa | Afrocentric ready to wear and gifts; use Oriirewa’s products or services; use Oriirewa’s applications for mobile; or use software provided by Oriirewa.

 

All terms refer to the offer, acceptance and consideration of payment necessary for the sale of the relevant Product or Products to the Client with the express purpose of meeting the Client's needs in accordance with and subject to applicable laws. Any use of the above terminologies or other words in the singular, plural, capital letters and/or plural, and/or these terms, is considered interchangeable and therefore a reference to them.

 

Using our Services and purchasing our products

 

We currently offer a wide range of Products and expect to increase our range of products and sometimes, additional terms may apply. 

 

You are under an obligation to abide by the policies made available to you within the Services. Do not misuse our Services. For example, do not interfere with our Services or try to access our Services or purchase our Products using a method other than the interface and the instructions that we provide. You may use our Services only as permitted by law. We reserve the right to suspend or stop providing our Services to you or offering our Products for sale to you if you do not comply with our terms or policies or if you are being investigated for a suspected misconduct.

 

Using our Services or purchasing any of our Products does not give you ownership of any intellectual property rights in our Services or in the content you access. These terms do not grant you the right to use any branding or logos used in our Services and/or incorporated in our Products.

In connection with your use of the Services we render and your purchase of Products we offer, we may send you service announcements, administrative messages, and other information. You may opt out of some of those communications.

Only authorized employees within the Company can, in the course of their duties, access and use information collected from individual customers.

 

We are constantly reviewing our systems and data to ensure the best possible service to our customers. Government authorities have created specific offences for unauthorized actions against computer systems and data. We will investigate such actions with a view to bringing legal action and/or civil action for damages against those responsible.

 

Payment for Services and Products

 

If you wish to pay for Products offered for sale by Oriirewa, you may be asked to supply certain information relevant to confirming and completing your payment including, without limitation:

2. Your bank details

3. All such information as are necessary for the completion of the payment process.

 

All such payments shall be made through Oriirewa’s platform/website only.

 

Software in our Services

 

Oriirewa gives you a personal, worldwide, non-assignable and non-exclusive license to use the software provided to you by Oriirewa in the purchase of relevant Products. You may not copy, modify, distribute, sell, or lease any part of our software, nor may you reverse engineer or attempt to extract the source code of that software, unless you have our written permission.

Exclusions and Limitations

 

The information contained on this website is provided on an “as is” basis. To the fullest extent permitted by law, Oriirewa:

 

• Excludes all representations and warranties with respect to this website and its content or that are or may be provided by affiliates or any other third party, including with respect to any inaccuracy or omission in this website; and

• Excludes any liability for damages arising out of or in connection with your use of this website. Oriirewa and Oriirewa’s suppliers and distributors, will not be responsible for lost profits, revenues, or data, financial losses or indirect, special, consequential, exemplary, punitive damages or damage caused to your computer, computer software, systems and programs and data relating thereto or any other direct or indirect, consequential or incidental damages.

• Excludes any liability for any failure or delay in the performance of its obligations to the Client if that failure or delay is due to circumstances beyond our reasonable control including, without limitation, any act of God or other cause beyond its reasonable control including any mechanical, electronic, communications or third party supplier failure.

 

Liability for our Services

 

To the extent permitted by law, the total liability of Oriirewa, and its suppliers and distributors, for any claims under these Terms, including for any implied warranty, is limited to the amount paid to Oriirewa for the relevant Product or Products.

 

Third-Party’s use

 

If you are using our Services and purchasing our Products on behalf of an individual or a business, that individual and/or business accepts these Terms. Such third-party will hold harmless and indemnify Oriirewa and its affiliates, officers, agents, and employees from any claim, suit or action arising from or related to the use of our Services or purchase of our Products, including any liability or expense arising from such claims, losses, damages, suits, judgments, litigation costs and attorneys’ fees.

 

Refund Policy

 

You may return most new, unopened items sold by Oriirewa within 7 days of delivery for a full refund. Oriirewa does not take title to returned items until the item arrives at our production center in excellent condition and as determined by Oriirewa. Where applicable, only the amount paid to Oriirewa that constitutes payment for the relevant Product will be refunded.

 

Refund shall be made by Oriirewa within a minimum of 28 days from the date in which the Product returned is determined by Oriirewa to be in excellent condition.

 

Considering that our products are made to order, Oriirewa may be unable to offer the exchange of an item for another where there is no damage or defect in the original product shipped. In the event of damage and/or defect to the product shipped, Oriirewa may offer to exchange the damaged item for another.

 

Risk of Loss

 

All purchases from Oriirewa are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to the Client upon our delivery to the carrier.

 

Agency Relationship

Parties agree that consent to these Terms will not create an agency relationship between the Client and Oriirewa.

Log Files

We use IP addresses to analyze trends, administer the site, track user’s movement, and gather broad demographic information for aggregate use. Additionally, for systems administration, detecting usage patterns and troubleshooting purposes, our web servers automatically log standard access information including browser type, access times/open mail, URL requested, and referral URL. This information is not shared with third parties and is used only within the Company on a need-to-know basis. Any individually identifiable information related to this data will never be used in any way different to that stated above without your explicit permission.

Force Majeure

 

Neither party shall be liable to the other for any failure to perform any obligation under any agreement which failure is due to an event beyond the control of such Party including but not limited to any Act of God, terrorism, war, Political insurgence, insurrection, riot, civil unrest, act of civil or military authority, uprising, earthquake, flood or any other natural or man-made eventuality outside of our control, which causes the termination of an agreement or contract entered into, or which could not have been reasonably foreseen. Any Party affected by such event shall forthwith inform the other Party of the same and shall use all reasonable endeavours to comply with the terms and conditions of any Agreement contained herein.

 

 

Waiver

 

Failure of either Party to insist upon strict performance of any provision of this or any Agreement or the failure of either Party to exercise any right or remedy to which it, or they are entitled hereunder shall not constitute a waiver thereof and shall not cause a diminution of the obligations under this or any Agreement. No waiver of any of the provisions of this or any Agreement shall be effective unless it is expressly stated to be such and signed by both Parties.

These terms and the other policies posted on Oriirewa | Afrocentric ready to wear and gifts constitute the entire agreement between Oriirewa and You. This agreement, and any dispute or claim arising in any way to your dealing with Oriirewa, is governed by the laws of Texas.

 

If we do not enforce any particular provision, we are not waiving our right to do so later. If a court strikes any of these terms, the remaining terms will survive. We may automatically assign this agreement to a third party in our sole discretion and in accordance with the notice provision below.
